Terms of Service

These terms govern access to and use of CMMSAI. They apply alongside the order form or service agreement signed with your organization; where that agreement differs, it takes precedence.

CMMSAI is sold directly rather than by self-signup. The contracting entity, governing law, pricing and any service levels are set out in your order form or service agreement. Ask us for a copy before you commit.

1.The service

CMMSAI is a hosted maintenance-management platform: asset and inventory records, work orders, preventive-maintenance scheduling, inspections, vendor management, IoT monitoring and alerting, reporting, and an AI assistant. We provide it on a subscription basis for the term agreed with your organization.

We may change or improve features over time. We will not materially reduce core functionality during a paid term without notice.

2.Accounts and access

  • Accounts are created by invitation from an administrator at your organization. There is no public self-signup.
  • You are responsible for the accuracy of your account details and for keeping your credentials confidential.
  • Administrators control roles and permissions, and can deactivate accounts. Permissions are enforced server-side.
  • Tell us promptly if you believe an account has been compromised.

3.Acceptable use

You agree not to:

  • use the service unlawfully, or to store unlawful content;
  • attempt to access another organization's tenant, or to circumvent authentication, permissions or rate limits;
  • probe, scan or load-test the service without our written permission;
  • resell or provide the service to third parties except as agreed in writing;
  • upload malware, or content you have no right to upload.

Responsible security research is welcome — contact us before testing, and report findings privately.

4.Your data

Your organization owns the data it puts into CMMSAI. We process it to provide the service, as described in our Privacy Policy, and we do not use customer content to train models.

You are responsible for having the right to upload the data you upload, and for the lawfulness of the personal data you enter about your own staff and contractors.

5.Subscriptions, invoicing and trials

  • Subscriptions are invoiced monthly in advance by bank transfer, in USD or NGN. No card is required.
  • Invoices carry a payment reference and are due on the terms stated on the invoice.
  • Access continues while the subscription is current. Sustained non-payment may lead to suspension after notice.
  • Guided trials are provisioned by our team for the period agreed, and convert only if you choose to subscribe.

6.Availability and support

We aim to keep CMMSAI available continuously and to schedule disruptive maintenance outside business hours where practical. Any binding uptime commitment or support response time applies only if it is written into your agreement; the figures on our website are targets, not guarantees.

7.Monitoring, alerts and safety

IoT monitoring and alerting depend on things outside our control: your sensors and their calibration, site power, network connectivity, and your alert-rule configuration. Alerts may be delayed or missed.

CMMSAI is a management and monitoring tool. It is not a certified safety system, medical device, or a substitute for the regulated cold-chain, fire, life-safety or environmental controls your operation is required to maintain. Do not rely on it as your sole safeguard for anything where failure causes harm, spoilage or regulatory breach.

8.AI features

The AI assistant and work-order guidance generate suggestions from your data and knowledge base. Output can be incomplete or wrong. Treat it as advisory: a qualified person must verify any procedure, safety step or diagnosis before acting on it. You remain responsible for the work performed.

9.Compliance status

We build to support regulated operations, including electronic records and signatures and a tamper-evident audit trail. We do not currently claim SOC 2 attestation or completed FDA 21 CFR Part 11 validation; both are in progress and stated as such on our website. Compliance in your organization also depends on your own procedures and validation.

10.Intellectual property

We retain all rights in the CMMSAI software, documentation and brand. You receive a non-exclusive, non-transferable right to use the service during your subscription. Feedback you send us may be used to improve the product without obligation to you.

11.Warranties and liability

Except as expressly stated in your agreement, the service is provided “as is” without warranties of any kind, to the maximum extent permitted by law.

Neither party is liable for indirect, incidental or consequential loss, or for loss of profit, revenue or data, arising from use of the service. Our aggregate liability is limited as set out in your agreement. Nothing here excludes liability that cannot lawfully be excluded, including for death or personal injury caused by negligence, or for fraud.

12.Suspension and termination

  • Either party may terminate as set out in the agreement.
  • We may suspend access where use threatens the security or stability of the service, or after sustained non-payment, giving notice where we reasonably can.
  • On termination, we delete or return customer data in line with the agreement. Backups expire on their normal retention schedule.

13.Changes and contact

We may update these terms as the service evolves, and will revise the date above. Where changes are material, we will notify customers in advance.
